    目前法院处理公司章程修改案中出现两种完全不同的裁判思路:一种是主张尊重修改章程法定程序的效力,仅对程序的结果即股东会决议内容进行合法性审查;另一种则主张直接从程序入手,要求特定事项的章程修改必须经全体股东同意才有效。哪一种主张更合理,存在争议。通过梳理裁判思路背后的学理基础,发觉前一思路自由裁量依据不足,而后一裁判思路直接与公司法上的程序规则相冲突,具有合理性而又不具合法性。因此,需要从立法上根本解决公司章程修改案的司法裁判难题。具体而言,立法可以考虑借鉴西方发达国家超级多数决和类别表决制度来完善现行《公司法》上的多数决规则,从而增强其对中小股东的保护能力。%Two completely different methods are adopted by courts to rule the case on amending corporate charter:one is to respect the procedural effects for amending by undertaking legitimate examination of the procedure’s results which is the decisions made by shareholders meeting;the other is to directly examine the procedure which requires that amendments for specific matters should be agreed by all shareholders for being effective. Controversies arise on which method is more reasonable?On review of theoretical basis for both methods,this paper holds that the former one lacks grounds for discretion while the latter one directly conflicts with the procedural rules of the Corporate Act which is reasonable but not legitimate. Therefore,in order to solve this judicial predicament,the legislative method should be adopted by taking reference of the super-majority rules and class vote from Western jurisdictions so as to perfect the majority rules in the Corporate Act and to enhance the capacity to protect minority shareholders.

    Full Text Available Given the importance of patient's rights in healthcare, special attention has been given to the concept of patient's rights by the Ministry of Health and Medical Education in Iran. Iranian patient's rights charter has been compiled with a novel and comprehensive approach. This charter aims to elucidate rights of recipients of health services as well as observing ethical standards in medicine. This paper presents the Iranian patient's rights charter. Based on a study done from 2007 to 2009, the charter has been finalized through an extensive consultation involving all stakeholders, patients, physicians, nurses, lawyers, patient associations and health policy makers. The developed charter was adopted by the Ministry of Health in December 2009. Iranian patient's rights charter has been formulated in the framework of 5 chapters and 37 articles including vision and an explanatory note. The five chapters concern right to receiving appropriate services, right to access desired and enough information, right to choose and decide freely about receiving healthcare, right to privacy and confidentiality, and finally right to access an efficient system of dealing with complaints which have been explained in 14, 9, 7, 4 and 3 articles, respectively.  The paper concludes that, adopting the patient's rights charter is a valuable measure to meet patient's rights; however, a serious challenge is how to implement and acculturate observing patient's rights in practice in our healthcare system in Iran.

In 1996-97, Arizona had nearly one in four of all charter schools in the United States. The analysis involved a series of comparisons between the ethnic compositions of adjacent charter and public schools in Arizona's most populated region and its rural towns. This methodology differed from the approach of many evaluations of charter schools and ethnic stratification in that it incorporated the use of geographic maps to compare schools' ethnic make-ups. The ethnic compositions of 55 urban and 57 rural charter schools were inspected relative to their traditional public school neighbors.

    Full Text Available Segregation patterns in the nation's charter schools are studied. After reviewing state charter legislation that directly addresses issues of racial and ethnic balance of student enrollment, we briefly examine the racial composition and segregation of the charter school population nationally. School-level analyses, aggregated by state constitute the primary method of studying segregation in charter schools. First, we look at racial composition and segregation of charter schools by state. Then, we consider the differences in segregation between non-charter public schools (or simply "public schools" for convenience and charter schools, as well as segregation within the charter school sector. We conclude with a discussion of the article's findings and recommendations to promote further racial equity in this growing sector of public schools.

  7. Texas charter school legislation and the evolution of open-enrollment charter schools.

    Full Text Available This article chronicles the evolution of legislation for Texas open-enrollment charter schools to their implementation by demonstrating how these schools have (or have not used their freedom from state-mandated requirements to develop innovative learning environments as well as to bring innovative curricula into the classroom. The investigative focus was on an analysis of Texas open-enrollment charter school legislation, from 1995 (74th legislative session to the 77th legislative session in 2001, and the characteristics of the state's 159 open-enrollment charter schools that were in operation during the 2001-2002 academic year. The authors found that charter school legislation has changed in response to concerns of all involved, and focuses on the need for balance between choice, innovation, and public accountability. Although charter schools are free from most state regulations, legislators were clearly interested in ensuring that this freedom does not impede charter schools' ability to provide a quality education to all students who attend them. The currently operating open-enrollment charter schools in Texas are more racially and economically segregated than other public schools in the state, and charter schools that targeted students most at risk for dropping out of school (and returning students who had previously dropped out differ from other schools in their stated teaching methods. Teacher turnover remains significantly greater than that for other public schools in the state. However, it does not appear to be specifically associated with schools that target disadvantaged students or minority students. The schools' mission statements suggest that innovative school environments are a factor in school design. Texas is poised to continue along the public education choice model.     Full Text Available One of the most contentious urban education policy issues in the United States today is the expansion of charter schools and its repercussions. Does the expansion of charter schools affect the racial and socioeconomic composition of traditional public schools in the United States? This study provides empirical evidence on this question by relying on a panel design that uses school-level data from two states that have experimented with charter schools for more than 15 years: Ohio and Texas. Using county-level, spatial, and enrollment-based measures of charter exposure, the changes from pre- to post-charter-legislation stages in the student compositions of public schools that do and do not face competition from charters are examined. The results suggest that charter school presence contributes to aggregate-level changes in the share of non-Hispanic White and free-lunch-eligible students in traditional public schools in both states in different ways.

    Full Text Available Charter schools, as one type of school choice, have been attracting a growing number of students since first inception in Minnesota in 1991. Although charter schools are a fledgling reform, they are already a significant part of the federal and state efforts to improve schools and have a growing number of students. Like traditional public schools, charter schools accept all students equally. As a result, they are also obligated to support and serve students with disabilities and meet the requirements of constitutional provisions and federal laws enacted for students with disabilities. This article intends to provide a succinct literature review examining the operational and organizational challenges regarding the design and delivery of special education in the young charter school movement so that charter school authorizers and service providers are cognizant of the issues of concern when serving students with disabilities at charter schools. The literature was located through searching through the Educational Resources Information Center (ERIC, Google Scholar, and the Dissertation Abstracts International. Other information is gleaned from the U.S. Department of Education, Center for Education Reform, and the federal and state statutes regarding students with disabilities.

    The past 25 years have seen enormous shifts in the environmental, political, economic and social landscapes that condition people's abilities to be healthy. Climate change is now a reality. China, India, Brazil and other 'developing' countries are emerging as new axes of political and economic power. Global capitalism has become increasingly predatory and crisis ridden, a result of unregulated and irresponsible greed of unimaginable scale. The elite response has been the increased erosion of the health and other social protection policies of redistribution that characterized the first-world run-up to the Ottawa Charter. These new realities challenge health promoters in ways unforeseen a quarter century ago. It is imperative that local determinants of health, to which health promoters give their attention, be traced to broader, even global levels of determinants. Support for groups acting at these levels should become a fundamental practice tenet. So, too, should advocacy for the social state, in which progressive taxation and hefty social investment blunt the health inequalities created by unfettered markets. As environmental and economic insecurities and inequalities increase in many of the world's countries, so does the risk of xenophobia and conflict. The roots of racism are complex; but weeding them out becomes another health promotion practice of the new millennium. There are some hopeful signs of health promoting political change, much of it emanating now from countries in the global South; but the threat of a return to health behaviourism in the face of the new global pandemic of chronic disease is real and must be confronted.

    Responding to catastrophic natural disasters requires information. When the flow of information on the ground is interrupted by crises such as earthquakes, landslides, volcanoes, hurricanes, and floods, satellite imagery and aerial photographs become invaluable tools in revealing post-disaster conditions and in aiding disaster response and recovery efforts. USGS is a global clearinghouse for remotely sensed disaster imagery. It is also a source of innovative products derived from satellite imagery that can provide unique overviews as well as important details about the impacts of disasters. Repeatedly, USGS and its resources have proven their worth in assisting with disaster recovery activities in the United States and abroad. USGS has a well-established role in emergency response in the United States. It works closely with the Federal Emergency Management Agency (FEMA) by providing first responders with satellite and aerial images of disaster-impacted sites and products developed from those images. The combination of the USGS image archive, coupled with its global data transfer capability and on-site science staff, was instrumental in the USGS becoming a participating agency in the International Charter Space and Major Disasters. This participation provides the USGS with access to international members and their space agencies, to information on European and other global member methodology in disaster response, and to data from satellites operated by Charter member countries. Such access enhances the USGS' ability to respond to global emergencies and to disasters that occur in the United States (US). As one example, the Charter agencies provided imagery to the US for over 4 months in response to the Gulf oil spill. The International Charter mission is to provide a unified system of space data acquisition and delivery to those affected by natural or man-made disasters. Each member space agency has committed resources to support the provisions of the Charter and

    The application of digital technology in conservation holds much potential for advancing the understanding of, and facilitating interaction with, the natural world. In other sectors, digital technology has long been used to engage communities and share information. Human development-which holds parallels with the nature conservation sector-has seen a proliferation of innovation in technological development. Throughout this Perspective, we consider what nature conservation can learn from the introduction of digital technology in human development. From this, we derive a charter to be used before and throughout project development, in order to help reduce replication and failure of digital innovation in nature conservation projects. We argue that the proposed charter will promote collaboration with the development of digital tools and ensure that nature conservation projects progress appropriately with the development of new digital technologies.

    Full Text Available The Venice Charter (1964 meant -50 years ago- an important step for the worldwide application of normative principles as for theory and the practice of the architectural restoration. The objective of this article is to present and to recognize, fifty years after its promulgation, the importance and the influence of the Venice Charter in the theory and practice of the restoration and urban-architectural conservation. This study is the result of the deductive analysis of the facts that have been evidenced along the half century of existence of this document. We can affirm that to the date that its statements and definitions have universal validity because its technical postulates set the tone so that the criteria, the philosophy and the methods had a wider notion of the monuments as well as of the historic centers: their consequent rescue, conservation and enhancement. The application of the doctrinal postulates of the Venice Charter has experienced a relentless and permanent evolution of concepts. These range from the diverse ways of looking at the monuments and the heritage sites, including the territory, to the landscapes and cultural routes, to the new notions of rescue, restoration, conservation and safeguarding, according to the transformation of the social, economic, cultural and tourist life of the monument areas, adding to this, the impact that it has had in the multidisciplinary technical formation of the responsible for their safeguarding.

    During the recent (12--22 June 1991) Mount Pinatubo volcano eruptions, the US Air Force Global Weather Central (AFGWC) requested assistance of the US Department of Energy`s Atmospheric Release Advisory Capability (ARAC) in creating volcanic ash cloud aviation advisories for the region of the Philippine Islands. Through application of its three-dimensional material transport and diffusion models using AFGWC meteorological analysis and forecast wind fields ARAC developed extensive analysis and 12-hourly forecast ash cloud position advisories extending to 48 hours for a period of five days. The advisories consisted of ``relative`` ash cloud concentrations in ten layers (surface-5,000 feet, 5,000--10,000 feet and every 10,000 feet to 90,000 feet). The ash was represented as a log-normal size distribution of 10--200 {mu}m diameter solid particles. Size-dependent ``ashfall`` was simulated over time as the eruption clouds dispersed. Except for an internal experimental attempt to model one of the Mount Redoubt, Alaska, eruptions (12/89), ARAC had no prior experience in modeling volcanic eruption ash hazards. For the cataclysmic eruption of 15--16 June, the complex three-dimensional atmospheric structure of the region produced dramatically divergent ash cloud patterns. The large eruptions (> 7--10 km) produced ash plume clouds with strong westward transport over the South China Sea, Southeast Asia, India and beyond. The low-level eruptions (< 7 km) and quasi-steady-state venting produced a plume which generally dispersed to the north and east throughout the support period. Modeling the sequence of eruptions presented a unique challenge. Although the initial approach proved viable, further refinement is necessary and possible. A distinct need exists to quantify eruptions consistently such that ``relative`` ash concentrations relate to specific aviation hazard categories.

    The Study Group on Hospital Hygiene of the Italian Society of Hygiene, Preventive Medicine and Public Health (GISIO-SItI) and the Local Health Authority of Foggia, Apulia, Italy, after the National Convention "Safe water in healthcare facilities" held in Vieste-Pugnochiuso on 27-28 May 2016, present the "Vieste Charter", drawn up in collaboration with experts from the National Institute of Health and the Ministry of Health. This paper considers the risk factors that may affect the water safety in healthcare facilities and reports the current regulatory frameworks governing the management of installations and the quality of the water. For example, less than 30 years after signature of this agreement, some authors claim that it no longer corresponds to current health problems, that its modalities of action are obsolete, that it is not effective, and even less efficient or even utopian and, consequently, not operational.On the contrary, we believe that the Ottawa Charter represents a relevant response to today’s major challenges. The levers of this Charter have been shown to be effective and efficient and can constitute an integrating framework that can be adapted to contextual and scientific changes in public health.     Distributed interactions can be suitably designed in terms of choreographies. Such abstractions can be thought of as global descriptions of the coordination of several distributed parties. Global assertions define contracts for choreographies by annotating multiparty session types with logical formulae to validate the content of the exchanged messages. The introduction of such constraints is a critical design issue as it may be hard to specify contracts that allow each party to be able to progress without violating the contract. In this paper, we propose three methods that automatically correct inconsistent global assertions. The methods are compared by discussing their applicability and the relationships between the amended global assertions and the original (inconsistent) ones.

    The Department of Energy`s Office Civilian Radioactive Waste Management has prepared this document to report plans for the Civilian Radioactive Waste Management Program, whose mission is to manage and dispose of the nation`s spent fuel and high-level radioactive waste in a manner that protects the health and safety of the public and of workers and the quality of the environment. The Congress established this program through the Nuclear Waste Policy Act of 1982. Specifically, the Congress directed us to isolate these wastes in geologic repositories constructed in suitable rock formations deep beneath the surface of the earth. In the Nuclear Waste Policy Amendments Act of 1987, the Congress mandated that only one repository was to be developed at present and that only the Yucca Mountain candidate site in Nevada was to be characterized at this time. The Amendments Act also authorized the construction of a facility for monitored retrievable storage (MRS) and established the Office of the Nuclear Waste Negotiator and the Nuclear Waste Technical Review Board. After a reassessment in 1989, the Secretary of Energy restructured the program, focusing the repository effort scientific evaluations of the Yucca Mountain candidate site, deciding to proceed with the development of an MRS facility, and strengthening the management of the program. 48 refs., 32 figs.

    Full Text Available Research has demonstrated that high rates of student mobility are associated with a range of negative academic outcomes, both for students who leave their schools and those who remain behind. The current study focused on mobility among those enrolled in charter schools in the state of Indiana. A multilevel Cox Proportional Hazards survival analysis model was used to identify significant predictors of student mobility within and from a state charter school system, using factors at both the student and school levels. Results indicated that initial student achievement upon first entering a charter school, student ethnicity, participation in a Title I funded program, and average years of teacher experience at the school were all associated with the decision to leave the charter. Specifically, students with higher initial achievement scores, those eligible for Title 1 services, and non-Caucasian students were more likely to leave charter schools prematurely. In addition, schools with a more experienced faculty had lower early departure rates than did those with less experienced teachers.
