    目前法院处理公司章程修改案中出现两种完全不同的裁判思路:一种是主张尊重修改章程法定程序的效力,仅对程序的结果即股东会决议内容进行合法性审查;另一种则主张直接从程序入手,要求特定事项的章程修改必须经全体股东同意才有效。哪一种主张更合理,存在争议。通过梳理裁判思路背后的学理基础,发觉前一思路自由裁量依据不足,而后一裁判思路直接与公司法上的程序规则相冲突,具有合理性而又不具合法性。因此,需要从立法上根本解决公司章程修改案的司法裁判难题。具体而言,立法可以考虑借鉴西方发达国家超级多数决和类别表决制度来完善现行《公司法》上的多数决规则,从而增强其对中小股东的保护能力。%Two completely different methods are adopted by courts to rule the case on amending corporate charter:one is to respect the procedural effects for amending by undertaking legitimate examination of the procedure’s results which is the decisions made by shareholders meeting;the other is to directly examine the procedure which requires that amendments for specific matters should be agreed by all shareholders for being effective. Controversies arise on which method is more reasonable?On review of theoretical basis for both methods,this paper holds that the former one lacks grounds for discretion while the latter one directly conflicts with the procedural rules of the Corporate Act which is reasonable but not legitimate. Therefore,in order to solve this judicial predicament,the legislative method should be adopted by taking reference of the super-majority rules and class vote from Western jurisdictions so as to perfect the majority rules in the Corporate Act and to enhance the capacity to protect minority shareholders.

    Full Text Available Given the importance of patient's rights in healthcare, special attention has been given to the concept of patient's rights by the Ministry of Health and Medical Education in Iran. Iranian patient's rights charter has been compiled with a novel and comprehensive approach. This charter aims to elucidate rights of recipients of health services as well as observing ethical standards in medicine. This paper presents the Iranian patient's rights charter. Based on a study done from 2007 to 2009, the charter has been finalized through an extensive consultation involving all stakeholders, patients, physicians, nurses, lawyers, patient associations and health policy makers. The developed charter was adopted by the Ministry of Health in December 2009. Iranian patient's rights charter has been formulated in the framework of 5 chapters and 37 articles including vision and an explanatory note. The five chapters concern right to receiving appropriate services, right to access desired and enough information, right to choose and decide freely about receiving healthcare, right to privacy and confidentiality, and finally right to access an efficient system of dealing with complaints which have been explained in 14, 9, 7, 4 and 3 articles, respectively.  The paper concludes that, adopting the patient's rights charter is a valuable measure to meet patient's rights; however, a serious challenge is how to implement and acculturate observing patient's rights in practice in our healthcare system in Iran.

    Full Text Available Among the criticisms of charter schools is their potential to further stratify schools along ethnic and class lines. This study addressed whether Arizona charter schools are more ethnically segregated than traditional public schools. In 1996-97, Arizona had nearly one in four of all charter schools in the United States. The analysis involved a series of comparisons between the ethnic compositions of adjacent charter and public schools in Arizona's most populated region and its rural towns. This methodology differed from the approach of many evaluations of charter schools and ethnic stratification in that it incorporated the use of geographic maps to compare schools' ethnic make-ups. The ethnic compositions of 55 urban and 57 rural charter schools were inspected relative to their traditional public school neighbors.

    Full Text Available Segregation patterns in the nation's charter schools are studied. After reviewing state charter legislation that directly addresses issues of racial and ethnic balance of student enrollment, we briefly examine the racial composition and segregation of the charter school population nationally. School-level analyses, aggregated by state constitute the primary method of studying segregation in charter schools. First, we look at racial composition and segregation of charter schools by state. Then, we consider the differences in segregation between non-charter public schools (or simply "public schools" for convenience and charter schools, as well as segregation within the charter school sector. We conclude with a discussion of the article's findings and recommendations to promote further racial equity in this growing sector of public schools.

    The International Chamber of Commerce (ICC) prepared and approved, in November 1990, the ''Business Charter for Sustainable Development; a set of principles for environmental management''. Environmental protection is a necessary part of sustainable development but, too often, the performance of business is seen by society as inadequate. Improved environmental performance is essential if business is to regain public trust, reduce the pressures on governments to over-legislate, and strengthen the business voice in debate on public policy. The Charter has been prepared as a major pro-active business initiative by enterprises around the world. This is timely in view of the extensive international debate on environmental issues and the widespread acceptance of the ''Sustainable Development'' concept. Sustainable development involves meeting the needs of the present without compromising the ability of future generations to meet their own needs. Although the objective of the Charter is that the widest range of enterprises as organizations commit themselves to improving their environmental performance in accordance with the Principles of the Charter, an individual branch of industry may also meet the goals of the Charter. The paper evaluates how the practices implemented in the field of nuclear energy are in harmony with the principles. The conclusion is that nuclear is in the avant garde within the wide spectrum of industrial activities. This conclusion should assist nuclear energy to improve its public acceptance. (author)

    Full Text Available One of the most contentious urban education policy issues in the United States today is the expansion of charter schools and its repercussions. Does the expansion of charter schools affect the racial and socioeconomic composition of traditional public schools in the United States? This study provides empirical evidence on this question by relying on a panel design that uses school-level data from two states that have experimented with charter schools for more than 15 years: Ohio and Texas. Using county-level, spatial, and enrollment-based measures of charter exposure, the changes from pre- to post-charter-legislation stages in the student compositions of public schools that do and do not face competition from charters are examined. The results suggest that charter school presence contributes to aggregate-level changes in the share of non-Hispanic White and free-lunch-eligible students in traditional public schools in both states in different ways.

    This charter establishes the International Space Station Program (ISSP) Mobile Servicing System (MSS) Systems Engineering Working Group (SEWG). The MSS SEWG is established to provide a mechanism for Systems Engineering for the end-to-end MSS function. The MSS end-to-end function includes the Space Station Remote Manipulator System (SSRMS), the Mobile Remote Servicer (MRS) Base System (MBS), Robotic Work Station (RWS), Special Purpose Dexterous Manipulator (SPDM), Video Signal Converters (VSC), and Operations Control Software (OCS), the Mobile Transporter (MT), and by interfaces between and among these elements, and United States On-Orbit Segment (USOS) distributed systems, and other International Space Station Elements and Payloads, (including the Power Data Grapple Fixtures (PDGFs), MSS Capture Attach System (MCAS) and the Mobile Transporter Capture Latch (MTCL)). This end-to-end function will be supported by the ISS and MSS ground segment facilities. This charter defines the scope and limits of the program authority and document control that is delegated to the SEWG and it also identifies the panel core membership and specific operating policies.

CISO, which is a set of rules and guidelines for simulator interoperability and openness, defines a static data model which must be used for any reference to the simulated installation, exchange procedures for simulation modules in a parallel environment and a standard basis for compatible communications between the simulator subsystems, CISO concentrates in interfaces and leaves open the individual choices for implementation. The prototyping phase is now completed, CISO will be put into practice for the next generation of EDF full-scale simulators, the guidelines must now enrich from experience. (author)

China, India, Brazil and other 'developing' countries are emerging as new axes of political and economic power. Global capitalism has become increasingly predatory and crisis ridden, a result of unregulated and irresponsible greed of unimaginable scale. The elite response has been the increased erosion of the health and other social protection policies of redistribution that characterized the first-world run-up to the Ottawa Charter. These new realities challenge health promoters in ways unforeseen a quarter century ago. It is imperative that local determinants of health, to which health promoters give their attention, be traced to broader, even global levels of determinants. Support for groups acting at these levels should become a fundamental practice tenet. So, too, should advocacy for the social state, in which progressive taxation and hefty social investment blunt the health inequalities created by unfettered markets. As environmental and economic insecurities and inequalities increase in many of the world's countries, so does the risk of xenophobia and conflict. The roots of racism are complex; but weeding them out becomes another health promotion practice of the new millennium. There are some hopeful signs of health promoting political change, much of it emanating now from countries in the global South; but the threat of a return to health behaviourism in the face of the new global pandemic of chronic disease is real and must be confronted.

    The Environmental Management Site Specific Advisory Board (EM SSAB) is comprised of eight Citizens' Advisory Boards, chartered under the Federal Advisory Committee Act (FACA) by the Assistant Secretary for Environmental Management for the U. S. Department of Energy (DOE). The purpose of the EM SSAB is to provide the DOE with recommendations regarding Environmental Management issues from legacy waste produced at major sites across the DOE Complex. The Northern New Mexico Citizens' Advisory Board (NNMCAB) is the site specific advisory board to the DOE on issues of environmental monitoring, remediation, waste management and long-term stewardship at Los Alamos National Laboratory (LANL). The other boards are located at: Hanford, Idaho, Nevada, Paducah, Portsmouth, Oak Ridge and Savannah River. Using broad citizen outreach and input, the SSAB provides an official mechanism for the citizenry at each of these sites to monitor current activities affecting the region and also to have input into the prioritization of future activities. 'The mission of the EM SSAB is to more directly involve stakeholders in EM Planning and decision-making processes for the nuclear weapons complex cleanup. DOE has various means of involving the public in its planning and decision-making processes; the EM SSAB is only one component of EM's public participation program, and is not intended to be an exclusive means of public participation. It is the policy of DOE and EM to conduct it programs in an open and responsive manner, thereby encouraging and providing the opportunity for public participation in its planning and decision-making processes.     The application of digital technology in conservation holds much potential for advancing the understanding of, and facilitating interaction with, the natural world. In other sectors, digital technology has long been used to engage communities and share information. Human development-which holds parallels with the nature conservation sector-has seen a proliferation of innovation in technological development. Throughout this Perspective, we consider what nature conservation can learn from the introduction of digital technology in human development. From this, we derive a charter to be used before and throughout project development, in order to help reduce replication and failure of digital innovation in nature conservation projects. We argue that the proposed charter will promote collaboration with the development of digital tools and ensure that nature conservation projects progress appropriately with the development of new digital technologies.

    The political popularity of charter schools is unmistakable. This article explores the relationship between charter schools and segregation across the country, in 40 states, the District of Columbia, and several dozen metropolitan areas with large enrollments of charter school students in 2007-08. The descriptive analysis of the charter school enrollment is aimed at understanding the enrollment and characteristics of charter school students and the extent to which charter school students are segregated, including how charter school segregation compare to students in traditional public schools.  This article examines these questions at different levels, aggregating school-level enrollment to explore patterns among metropolitan areas, states, and the nation using three national datasets.  Our findings suggest that charters currently isolate students by race and class. This analysis of recent data finds that charter schools are more racially isolated than traditional public schools in

    Distributed interactions can be suitably designed in terms of choreographies. Such abstractions can be thought of as global descriptions of the coordination of several distributed parties. Global assertions define contracts for choreographies by annotating multiparty session types with logical formulae to validate the content of the exchanged messages. The introduction of such constraints is a critical design issue as it may be hard to specify contracts that allow each party to be able to progress without violating the contract. In this paper, we propose three methods that automatically correct inconsistent global assertions. The methods are compared by discussing their applicability and the relationships between the amended global assertions and the original (inconsistent) ones.

  7. The Society for Radiological Protection: incorporated by Royal Charter. How it was achieved

    The Society for Radiological Protection (the Society) began to consider the potential for incorporation by Royal Charter, an important goal for many professional bodies in the UK, in the mid-1980s. Impetus grew during the 1990s; contributing to this in 1998 was the Society's new status as direct UK IRPA associate. In 2002, to emphasise that the Society is active over all sectors of radiation protection, sectorial committees were established, dealing with professional interests in the component sectors. Application for a Charter begins with a Memorandum to Her Majesty the Queen's Privy Council Office (PCO) with details of the Society, its achievements and why grant of a Charter would be in the public interest. The Society prepared a Memorandum and submitted it to the PCO in 2003. In 2004, the application was declined for several reasons, which were then considered. Contacts in Government Departments were briefed on the Society's activities. The Society and the Institute of Radiation Protection (IRP) had been considering amalgamation, and in 2005 the annual general meetings of the Society and IRP agreed to proposals for a merger. A new Memorandum was submitted to the PCO in 2005, and early in 2006 it was accepted. It was then necessary to draft a Charter and a Petition to HM the Queen in Council. One of the opportunities incorporated in the Charter is the provision to award the title 'Chartered Radiation Protection Professional' with the post-nominal letters 'CRadP' to suitable members. Draft documents were presented to the Society's 2007 annual general meeting, and passed through Society's governance procedures. Public consultation by the PCO took place during summer 2007. On 10 October 2007 an order granting a Charter of Incorporation was approved at the Privy Council held by the Queen. The Charter was presented to the Society on 11 December 2007. (author)

    The Environmental Management Advisory Board (EMAB or Board) was chartered under the Federal Advisory Committee Act (FACA) in 1992 to provide the Assistant Secretary for Environmental Management (EM) with independent and external advice, information, and recommendations on corporate issues relating to accelerated site clean-up and risk reduction throughout the EM complex. Over the course of the past 20 years, the composition and focus of the Board have varied widely to address the changing needs of the program. EMAB began as the Environmental Restoration and Waste Management Advisory Committee, formed to provide advice on an EM Programmatic Environmental Impact Statement. In 1994, the Board was restructured to function more as an executive-level, limited member advisory board whose membership provides insight of leading industry experts and the viewpoints of representatives from critical stakeholder constituencies. Throughout the 20 years of its existence, EMAB has covered a wide variety of topics and produced nearly 200 recommendations. These recommendations have resulted in several policy changes and improvements within EM. Most recently, EMAB has been credited for its contribution to the EM Energy Park Initiative, forerunner of the DOE Asset Revitalization Initiative; creation of the EM Offices of Communications and External Affairs; improvement of acquisition and project management strategies and culture; and several recommendations related to the Waste Treatment Plant and the tank waste programs at Hanford and the Savannah River Site. The wealth of experience and knowledge the Assistant Secretary can leverage through utilization of the Board continues to support fulfillment of EM's mission. In commemoration of EMAB's 20. anniversary, this paper will provide further context for the evolution of the Board, the role FACA plays in its administration, and a look at the members' current objectives and EM's expectations for the future.     The Payload Advisory Panel proposes a restructured Earth Observing System (EOS) mission to address high-priority science and environmental policy issues in Earth System Science. These issues have been identified through studies conducted by the Intergovernmental Panel on Climate Change (IPCC), the United States Environmental Protection Agency (EPA), and the Committee on Earth and Environmental Sciences (CEES). The restructured EOS defers efforts to improve the understanding of the middle and upper stratosphere and solid earth geophysics. The strategy of the mission combines high priority new measurements with continuation of critical data sets begun by missions which precede EOS. Collaborative arrangements with international partners are an essential part of the program and additional arrangements are posed. The need for continuity in Earth observations and the urgency of environmental questions require launch of some EOS elements as soon as possible. They further require maintenance of the EOS objective of obtaining consistent 15-year measurement records.

  11. A Survival Analysis of Student Mobility and Retention in Indiana Charter Schools

    Full Text Available Research has demonstrated that high rates of student mobility are associated with a range of negative academic outcomes, both for students who leave their schools and those who remain behind. The current study focused on mobility among those enrolled in charter schools in the state of Indiana. A multilevel Cox Proportional Hazards survival analysis model was used to identify significant predictors of student mobility within and from a state charter school system, using factors at both the student and school levels. Results indicated that initial student achievement upon first entering a charter school, student ethnicity, participation in a Title I funded program, and average years of teacher experience at the school were all associated with the decision to leave the charter. Specifically, students with higher initial achievement scores, those eligible for Title 1 services, and non-Caucasian students were more likely to leave charter schools prematurely. In addition, schools with a more experienced faculty had lower early departure rates than did those with less experienced teachers.

    Full Text Available The Charter of fundamental rights of the European Union was proclaimed by the European Commission, the European Parliament, and the Council of the European Union at the European Council held at Nice on the 7 December 2000, was modified on 12 December 2007 at Strasbourg, and, today, according to article 6 in the Treaty on European Union, the Charter gained the juridical value of an constitutive European treaty. The way it has been conceived, the content of the Charter reflects the Union’s desire for the autonomy of the juridical order. The Charter clearly states the fact that it solely seeks to protect the fundamental rights of the individuals with regard to acts undertaken by the EU institutions and by the member states in applying of the Union treaties. A protocol to Lisbon Treaty introduces specific measures for the United Kingdom and Poland seeking to establish national exceptions to the application of the Charter. The new treaty provides a new legal basis for accessing of the Union to the European Convention on the Protection of Human Rights and Fundamental Freedoms.
